Terms of Service

1. Acceptance
By creating an account or using the Agentic Invoice Processing System ("AIPS","we", "us"), you agree to these Terms of Service. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use AIPS.
2. Description of Service
AIPS is a cloud-based invoice automation platform that connects to your invoice sources (Gmail, Google Drive, Outlook, Dropbox, etc.), extracts invoice data using AI, validates it against business rules, and routes processed invoices to destinations you configure (QuickBooks, Xero, Google Sheets, etc.).
3. Accounts and Eligibility
- You must be at least 18 years old and legally able to enter a contract.
- AIPS is currently available to users in the United States only.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You must enable multi-factor authentication (MFA) and keep your registered email address accurate.
- One person or legal entity may not maintain more than one free account.
4. Subscriptions and Billing
- Access requires a paid subscription managed through Paddle, our payment processor.
- Bookkeepers and accountants are billed per enrolled client; individual firms pay a flat fee.
- Subscriptions auto-renew until cancelled. Cancel at any time in Billing settings.
- No refunds are issued for partial billing periods unless required by applicable law.
- We reserve the right to change pricing with 30 days' notice.
5. Acceptable Use
You agree not to:
- Use AIPS to process data you do not have lawful authority to access.
- Attempt to reverse-engineer, decompile, or extract source code.
- Transmit malicious code, attempt unauthorised access, or conduct denial-of-service attacks.
- Resell or sublicense access to AIPS without written permission.
- Use AIPS to violate any applicable law, including financial regulations or data protection law.
6. Google API and Third-Party Integrations
When you connect Google services (Gmail, Google Drive, Google Sheets), AIPS requests only the permissions necessary for invoice ingestion and routing. AIPS's use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. You may revoke any integration at any time in Settings.
Third-party platforms (Google, Microsoft, Dropbox, QuickBooks, Xero, Paddle) are governed by their own terms. AIPS is not responsible for their availability or actions.
7. Data Ownership and Licence
You retain full ownership of your invoice data. By using AIPS, you grant us a limited, non-exclusive licence to process that data solely to provide the service to you. We do not use your data to train AI models for third parties or sell it.
8. Service Availability
We target 99.5% monthly uptime. Scheduled maintenance will be announced at least 24 hours in advance. We are not liable for downtime caused by events outside our reasonable control (third-party platform outages, internet disruptions, force majeure).
9. Disclaimer of Warranties
AIPS is provided "as is" and "as available" without warranty of any kind. We do not warrant that extracted invoice data is 100% accurate or that all invoices will be processed without exception. You are responsible for reviewing flagged exceptions and maintaining your own financial records.
10. Limitation of Liability
To the maximum extent permitted by law, AIPS's total liability for any claim arising from these Terms or use of the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
11. Termination
You may terminate your account at any time. We may suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your data will be deleted within 30 days per our Privacy Policy.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved by binding arbitration under AAA rules, except either party may seek injunctive relief in any competent court.
13. Changes to These Terms
We may update these Terms. We will notify you by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
